Role Overview
We are seeking a Senior Associate to join our Hong Kong team, with a primary focus on Debt Financing and exposure to M&A, fundraising, and financial advisory mandates. You will work closely with Partners and Directors on cross-border transactions from origination to completion.
Ideal Candidate

Excellent communication skills and the ability to engage confidently with clients, lenders, and counterparties are essential. A solid understanding of private credit organizations, banks, and non‑institutional lenders is important, along with familiarity or exposure to debt restructuring and refinancing transactions for small‑ and mid‑capitalization companies in Hong Kong, Singapore, and Southeast Asia.

Key Responsibilities:
1. Debt Financing Execution:
Transaction Execution & Process management: Co-lead the end-to-end execution of debt financing transactions, including leveraged and acquisition finance, syndicated loans, private credit, and refinancings, managing workstreams from mandate to closing.
Financial Modelling & Analysis: Build and maintain detailed financial models, including debt capacity, cash flow available for debt service (CFADS), covenant headroom, and returns analysis to support structuring and credit decisions.
Credit & Documentation: Prepare credit papers, information memoranda, and lender presentations; review and negotiate term sheets and finance documentation alongside legal counsel, incorporating applicable ESG requirements into financing structures and documentation.
Due Diligence: Coordinate and review financial, commercial, and legal due diligence, identifying key risks and structuring considerations for clients and lenders.
Client & Lender Liaison: Act as a key day-to-day point of contact for clients, banks, and credit funds, managing information flow and supporting relationship development.
2. M&A & Financial Advisory (Optional):
Deal Execution: Support the execution of M&A and corporate finance mandates, including buy-side and sell-side processes, valuations, and transaction structuring.
Valuation & Modelling: Perform company and transaction valuations using DCF, comparable companies, and precedent transaction methodologies to inform advisory recommendations.
Advisory & Consulting: Contribute to financial advisory and consulting engagements, including capital structure reviews, strategic options analysis, and client-facing recommendations.
Marketing Materials: Prepare pitch books, information memoranda, management presentations, and board materials to a high standard of accuracy and presentation with a strong business and financial analysis
Process Management & Reporting: Manage data rooms, transaction timelines, and deliverables, coordinating across clients, advisers, and internal stakeholders to ensure a smooth communication and meeting project timeline.
Market Awareness: Monitor market trends, financing conditions, and sector developments to support origination and client dialogue.
Qualifications & Requirements:
Education: Bachelor’s degree in Finance, Accounting, Economics, or a related field. A relevant postgraduate qualification (e.g., CFA, MBA, ACA/CPA) is an advantage.
Experience: Minimum 4 - 7 years of relevant experience in debt financing, leveraged/acquisition finance, or corporate finance, gained at an investment bank, advisory boutique, private credit fund, or Big Four corporate finance team. Demonstrable transaction execution experience is essential.
Technical Skills: Strong financial modelling, valuation, and analytical skills, with a thorough understanding of debt structures, credit metrics, and finance documentation.
Language: Fluency in English is required. Proficiency in Cantonese and/or Mandarin is a strong advantage given our cross-border focus.
